The most critical part is the Main Objects Clause. This defines exactly what your business is legally permitted to do. If your startup pivots next year into an activity not covered here, you cannot just start invoicing for it. You have to pass a special resolution and complete the MCA portal filing process before you can legally operate in that space.
2. The Articles of Association
If the MOA defines the boundaries of what your company can do, the AOA dictates how it runs. This is your internal corporate rulebook. It governs board meeting protocols, voting thresholds, share transfer restrictions, dividend distribution, and the exact mechanics of how directors are appointed or removed.
