1. The Memorandum of Association

Think of the MOA as your company's public charter. While your name reservation is secured up front in Part A of your incorporation forms, and your capital structure is detailed in Part B, the MOA is the final document that binds your entity to its stated limits and liability framework.

The most critical part is the Main Objects Clause. This defines exactly what your business is legally permitted to do. If your startup pivots next year into an activity not covered here, you cannot just start invoicing for it. You have to pass a special resolution and complete the MCA portal filing process before you can legally operate in that space.

2. The Articles of Association

If the MOA defines the boundaries of what your company can do, the AOA dictates how it runs. This is your internal corporate rulebook.
